Terms and Conditions
The following terms and conditions have been established for your project, impacting proposal components such as the cost estimate, outcomes, production timetable, and project workforce.
Completion And Final Payment: The website’s development will be considered complete once published on the Internet and made available to the rest of the world. The final payment is to be paid before the launch of the website.
Termination/Breach Resolution Process: Any party may terminate this agreement by giving the other party written notice if the other party breaches any material obligation and does not correct the breach within XX days of being notified. Con Fe Media may terminate this agreement immediately. If a client doesn’t pay fees or if they interfere with Con Fe Media‘s ability to deliver services, the company has the right to cancel the agreement.
Client Responsiveness: There will be no delays due to the client’s technical and functional resources being unable to examine papers, respond to inquiries, and participate in meetings, training sessions, and testing activities. Con Fe Media reserves the right to discontinue the project on notice if the customer is unresponsive and no input is offered.
Intellectual Property Rights: The client will have all intellectual property rights to the source material (e.g., design, code, copy, photography) provided to Con Fe Media for use in connection with this project like, Web content, design, and other work products created by the consultant as well as similar products and materials, will remain Con Fe Media‘s property and copyright until any costs incurred pursuant to this agreement have been paid in full.
Cancellation Clause: If you cancel or delay responding to Con Fe Media‘s request for information or proofs for more than X month, Con Fe Media may terminate the agreement and invoice you for the following:
- All work completed till the date of written notification, including expenses specified in the agreement or
- Any resumption of this project after termination would necessitate a new agreement, fee schedule, and initial deposit.
Scope Of Work Changes: The fees indicated are estimates based on this project’s time projection. Con Fe Media holds the client responsible for any additional work that may occur. The client is responsible for making additional payments for changes required by client revisions and/or additions after the client’s approval.
Project Timeline: The project timeline is the actual amount of development/design time required to finish a project. The timeline depends on the client providing immediate and consolidated input on all design and development deliverables. If feedback is delayed, the project’s timeframe may be severely delayed.
Client Verification And Sign-Off: The client is responsible for verifying and/or signing off on the website’s production and testing within X business days after Con Fe Media‘s notification of completion.
Webpage Launch Timing: The client understands that Con Fe Media does not launch webpages on Fridays or the days preceding a holiday.
Post-Launch Bug Fixes: The client acknowledges that Con Fe Media will only patch any bug-related issues after launch for X days from the official launch date. Con Fe Media will not be held liable for fixing the defect unless compensated for time and materials if:
- The client changes the website code or
- Hosts it on servers other than Con Fe Media‘s permitted servers, which causes a website issue and/or vulnerability.
Users Licence: Con Fe Media grants permission to briefly download the materials on its website only once for personal, non-commercial, transitory reading only. It is not a transfer of title, and you may not:
- Ammend or copy the materials.
- Use the materials for any business use or commercial display.
- Remove any copyright or other proprietary notations.
- Transfer the materials to another individual or duplicate them on another server.
Duly Authorized Representative: If this Agreement is executed, each party warrants that the representative whose signature appears on such signing pages has been duly authorized to enforce this Agreement by all necessary and appropriate corporate actions.
Website Content Submission: Once the homepage layout has been approved, the client will provide all the site content. Con Fe Media will fill any page on the website with “Lorem Ipsum” to display the page layout correctly until actual content is established. Con Fe Media will receive text in MS Word, the company logo in.EPS, or high-resolution images as.JPG files.
Indemnity: The customer agrees to indemnify and hold benign Con Fe Media from any claims, including damages, liabilities, costs, and expenses incurred by Con Fe Media as a result of any claim or adjudication against Con Fe Media related to or arising from Con Fe Media‘s work.
Agreement Acknowledgment: Each party confirms that it has read and understood this agreement and is bound by its terms and conditions.
Confidential Information
It includes all information disclosed by Client to Con Fe Media in oral or written, including:
- Business Plans,
- Financial Statements,
- Trade Secrets,
- Customer Information,
- Existing Or Potential Transactions With Third Parties,
- Intellectual Property Rights,
- Products,
- Research And Development,
- Operations,
- Website Function,
- Marketing,
- Sales,
- Pricing, And
- Trade
Con Fe Media will keep the information you provide secret. Con Fe Media will not use the Client’s Confidential Information for any purpose other than website maintenance. No additional rights, including but not limited to licenses, trademarks, inventions, copyrights, patents, or other intellectual property rights, are inferred or given by this Agreement or the transfer of Confidential Information between the parties.
